FOUNDING MEMBER PRICING – TERMS AND CONDITIONS

Congratulations, you’ve decided to be a KostaCLOUD Founding Member! As a Founding Member, you are entitled to receive special lifetime pricing for our proprietary Optical Design Software as a Service (the “Service”). The following terms (these “Terms”) apply to this lifetime pricing opportunity, so please read them carefully and keep a copy for your records.

Promotional Period: Ends March 31, 2024

Pricing: Founding Member pricing is available to all persons who place $3,000 down per seat before the end of the Promotional Period (the “Initial Installment”) and, within three months after being granted access to the Service (the “Installment Period”), pay an additional $3,000 per seat (the “Second Installment”), for a total of $6,000 per seat. All payments must be made in U.S. dollars and except for the installment payments described in this paragraph, partial payments are not accepted.

Additional Benefits: Provided we receive all installment payments timely, you will also receive a free one (1) hour onboarding session per seat with KostaCLOUD’s support team, as well as the ability to opt-in to being placed on our website as a Founding Member.

Access: Commencing on the date that we notify you via email used during signup that your seat is open on the Service, your Installment Period begins and you will be able to access the Service; however, it is crucial that you pay the Second Installment timely.  Please note: Your access will immediately cease and any licenses granted to you during the Promotional Period will immediately terminate and be forfeited by you if we do not timely receive the Second Installment before the expiration of the Installment Period for each seat purchased.

If we timely receive the Second Installment, then these, and only these, license(s) will continue on a year-to-year basis, and may be renewed by you at the Founding Member guaranteed rate of $6,000/seat per year - the renewal date for each license is the date in which the Installment Period begins.

Refunds: Initial Installments are refundable only if (i) the refund request is received by us prior the expiration of the Installment Period and (ii) you did not access or use the Service at any time. Other than expressly stated in this paragraph, all payments to KostaCLOUD are deemed earned when received by KostaCLOUD and are nonrefundable.

Restrictions: Your access to and use of the Services will be subject at all times to the terms of KostaCLOUD’s end user license agreement (“EULA”). Any use of the Services in violation of these Terms or the EULA will result in the termination of Founding Member pricing and may further result in the temporary or permanent suspension of the Services. Founding Member pricing is personal to the person/entity who initially registers for the Services as a Founding Member, and the Founding Member pricing guarantee cannot be assigned, delegated, or transferred to a third party without KostaCLOUD’s written consent, which may be withheld in KostaCLOUD’s sole discretion.
